Terms of Service

These terms and conditions apply to all web sites, services, and applications owned and operated by Couch Courses LLC (“CC”) or one of our affiliated companies operating through us.  By registering, enrolling, or using any of our Sites or Services, or accessing any content or material that we make available through the Sites or Services, you agree to these Terms of Use detailed below.  These Terms of Use form a legally binding agreement between you and CC.  CC reserves the right to change these Terms of Use in the future at our own discretion. If you do not agree to this Agreement for Terms of Use, you may not access or otherwise use the Sites or the Services.

You may use CC Sites and/or Services and Affiliate Content only if you have reached the age of majority or legal age in your jurisdiction (generally 18 or older) and can form legally binding contracts under applicable law.  If you are under 18 or the legal age of majority in your jurisdiction, your educational institution, parent, or guardian must agree to these Terms of Use on your behalf.

CC User Information

While using the Services, we may ask you to share certain personal information for us to provide you with the Services.  Our Privacy Policy describes our policies around collecting, using, and protecting the privacy of personal information.  You acknowledge and agree that between you and CC, only you are responsible for the accuracy of your personal information, and you agree to keep it up to date.

Contacting CC

A CC Administrator can be contacted at Admin@couchcourses.com at any time concerning technical questions about registration, enrollment, or questions that are not answered in the Frequently Asked Questions section.  If you are registered and enrolled in a CC class, you may contact your Instructor directly by their provided email.  For all submittals, regardless of medium used, you are to follow our Student Content Submittal Agreement and Online Learning Community Rules and review our Privacy Policy   Any student provided content such as answers, assignments, comments, questions, or concerns are bound by our Student Content Submittal Agreement.   When you submit information, whether created by you or a third-party vendor, you agree you have the rights to that intellectual property.  You own the rights to anything you post to the CC Sites or the Services.  By registering and enrolling in CC courses, you grant us an irreversible royalty-free license to use, administer, change, publish, and create byproduct works from your submissions regardless of the medium used.  CC understands that additional terms may be necessary depending on the ‘proprietary’ nature of the information, and those terms will be in addition to these Terms of Use.

CC Services for Registered Users

CC operates electronic platforms/systems, including web and mobile applications that authorize users such as students, instructors, and at times certain administrators access and use of certain Sites and Services offered by CC and affiliates through our Sites.  The material on our Sites and through our Services and/or Affiliate Content includes proprietary and non-proprietary information available to all users of our Sites and Services, but to access and use the Sites and/or Services you will be required to register, enroll, and pay a fee on our Sites.  If you register, enroll, and pay a fee to use the Sites and/or Services on behalf of your educational institution, you may be required to agree to additional terms and conditions in connection with the registration process through your institution or through an additional agreement made by CC.

Access to CC Sites and/or Services and/or Affiliate Content

You may access and use materials from the CC Sites and/or Services and/or the Affiliate Content provided through CC.  CC may provide you with access to content and information related to the Sites and Services.  You are subject to these Terms of Use as well as any additional terms you agree to in connection with such CC and/or Affiliate Content, whether specifically told and/or posted on the Site or through Services.  These Terms of Use include preventing the distribution of the CC and/or Affiliate Content to students or third parties.  You are responsible for maintaining the confidentiality of your password and account and are fully responsible for all activities that occur under your password or account.  You may not share or distribute to a third party any screen name or password for accessing the Services or the CC and/or Affiliate Content. 

CC and/or our Affiliate Partners make no warranties or representations about the contents of our CC Sites and/or Services and/or Affiliate Content.  We are not liable for any interruptions or delays at our CC Sites and/or the Services for whatever the reason.  You agree that you use the CC Sites and/or Services and/or Affiliate Content at your own risk.  CC Sites and/or Services and/or Affiliate Content are not perfect, and may contain things such as outdated material, technical inaccuracies, typographical errors, punctuation errors, and/or omissions.  CC is not responsible for those.  CC can make changes, corrections, and/or improvements to our CC Sites and/or Services and/or Affiliate Content at any time without notice.

CC Intellectual Property Rights

After registration, enrollment, and subsequent payment for your use of CC and affiliate Sites and Services you must remain compliant with these Terms of Use and any other agreement governing your use of the Sites and Services. CC grants you a limited, non-transferable, and non-exclusive license to access the Sites and use the Services over the Internet via the CC Site provided for the Services for your own internal use for educational purposes only.  CC is the owner and/or authorized user of all trademarks, service marks, logos, and trade names on our Sites and Services and is the owner or licensee of the content and/or information provided on our Sites and through our Services.  Your use of our Sites and Services does not grant you a license to any content or materials you may access through our Sites and our Services, unless otherwise expressly provided in these Terms of Use. You may not use any Trademark displayed on our Sites or through our Services without our prior written consent or prior written consent of the third-party that owns any other Trademarks.

You must not:  Modify copies of any materials from CC Sites and/or Services and/or Affiliate Content; Use any illustrations, photographs, video or audio sequences or any graphics separately from the accompanying text; Delete or alter any copyright, trademark or other proprietary rights notices from copies of materials from the CC Sites and/or Services and/or Affiliate Content; Reverse-engineer or otherwise attempt to steal the software code of the CC Sites and/or Services and/or Affiliate Content.

CC Limitation of Use

Only you are to access the CC Sites and/or Services and/or Affiliate Content using only your username and password.  If CC believes or has reason to believe you have shared your password information or access for your account or have used the CC Sites and/or Services, or any Affiliate Content in violation of these provisions, we may do any of the following: suspend your account, terminate your account, and/or refuse all use of the CC Sites and/or Services.  You agree to not copy, loan, sell, or change any materials from the CC Sites and/or Services and/or Affiliate Content, or transform or remove any proprietary notices, or create or byproduct material.  You may not transfer any portion of the CC Sites and/or Services and/or Affiliate Content through electronic means.  You may not reverse engineer the CC Sites and/or Services and/or Affiliate Content.  You are not to disable or impede any technical and/or other limitations, especially security-related features.  You acquire no title or right to any CC Sites and/or Services and/or Affiliate Content except for the limited access license granted to you by registration, enrollment, and payment, and CC reserves all rights and title to the CC Sites and/or Services and/or Affiliate Content.

CC Limitations of Liability

CC Sites and/or Services and/or Affiliate Content may contain links to third-party applications or external websites.  These links are not an endorsement by CC.  When you access a link or an external website, CC has no control over what services or content it provides.  CC rejects all liability arising from the conduct from these external websites, whether legal or illegal.

You agree to hold harmless CC and our officers, instructors, service providers, and all our affiliates against any claims or liabilities, and losses incurred from damages or expenses (including reasonable legal and accounting fees) arising from or relating to your breach of this Agreement or your access to, use, or misuse of the CC Sites and/or Services and/or Affiliate Content.  In such case, you agree to cooperate with any reasonable requests assisting our defense of such matter.

CC Sites and/or Services and/or Affiliate Partners will never be liable for any incidental consequences or damages of any kind in relation to lost time or money, good will, or profits, either in tort, contract, or negligence, whether foreseen or unforeseen with respect to use of CC Sites and/or Services and/or Affiliate Content.  Never will the liability exceed the fees paid by you to utilize CC Sites and/or Services and/or Affiliate Content, even if advised of such damages.  If the law prevents this previous exclusion, CC liability will be limited to the greatest extent of the law.
